Companies

A company is a statutory, incorporated body which is separate to its shareholders and directors.  It is governed by its own rules and the Companies Act 2006.

All companies are required to complete an Annual Return of directors and shareholders, and also to final annual accounts at Companies House.  Penalties for late filing of accounts start from £100 and go up to £1,000.

Under the new Act

  • A Company Secretary will no longer be required from 1st April 2008
  • Non-executive directors have the same statutory responsibilities as executive directors.
